Land Dispute Notice against RPS Group

I am attaching the copy of legal notice which featured in the Dainik Jagran News Paper today. This is regarding notice given by some companies to M/s RPS Infrastructure about land acquisition and termination of the contracts/ agreements. If some body has any clue please inform as to what is this notice about?....

The investors of which ever project (Savana, Palms or Rhythm) is built on this land are screwed since it looks like RPS didn't even leave its own supporters and committed a fraud with them. Or it could be related to some new project which they may be thinking of launching.

I think we need to call this law house or the developers mentioned and try to know which piece of land this is.

This is indeed a disturbing news......... even Part of Land in RPS Savana falls in village Baselwa. we need to investigate this.

Lets check with them and probably we might have a worthy advice and solution at hand as well.

I checked this law house website and they do deal in real estate cases. Have some clients in real estate space...mentioned on their website as well.

I see no harm in talking to them to get the feel of what does this intimation mean and relates to. Probably we might be able to solve our issue of Lawyer as well since they are already involved with their 3 clients vs. RPS. Who know, we might be able to get to the proper guidance as been looked for currently.

Thanks for taking the initiative to write an email to law firm.

I have tried speaking to law firm just two minutes back. Was informed that there are 2-3 people who are working on this and currently they are in court. Have been advised to call up after 3.30 pm. Would do that definitely.

For everyone's sake of interest, I have tried some of my research skills and found the following.

The two names mentioned in the notice - Guiding Force Developers Pvt. Ltd. & Arizona Developers Pvt. Ltd. used to be a step subsidiary of Era Infra Engineering Ltd. (A group company of renowned ERA Group) till March 28, 2008.

Post that, these have ceased to exist as Step Subsidiary. I am not able to understand as to what is the status of these companies currently. Are these entities still existing from books of accounts perspective or not. Have checked the Annual Report of ERA Group thoroughly for last financial year 2009-2010 and these do not find any mention there.

From a legal perspective, I do understand if there were any contracts entered 4-5 years back by ERA Group through these step subsidiaries and now if there is any dispute arising out of the same, the notice has to be issued in name of those subsidiaries only because they were parties to the contract even though they might not be existing either in books or physically.

Let's see what outcome comes. Request you to post this on forum on my behalf.

Apologies for giving you the trouble. I am considering this as an urgent update, hence request your help in posting.

Hi Gaurav,

I have just read your email on the issue of Non Tracebility of 2 Companies.

Although, I have not read the Legal Notice and all, but just going through the Emails, I can imagine the issue.

So, tt might be possible that these 2 Companies were merged in to the New Co.by way of Process defined in the Companies Act, 1956.

So, the legal impact of the same is that the 2 Companies extinguished and all the rights, liabilites, assets, litigation etc on these 2 companies transferred to new company. So it might be possible that these companies should have been merged into New Co.

Hi All,

I have recently joined the forum and was going through the topics posted so far on this forum and now really disturbed to see the legal notice.

I have one suggestion and seek your advise on this. As we are not sure about the Land they are talking about , Can we also send email to RPS regarding this Legal Notice? I am hoping they should have received the notice from law firm by now and can provide more information in regards to that.

This mentions about a breach of contract for some 25 acres of land between RPS Infrastructure Ltd and the above mentioned clients in Sector 88 in Faridabad due to which the agreement has been terminated between both the parties.

Please let me know the details of the project which gets hit due to the cancellation of the deal. I am concerned if the land mentioned is part of the Savana Project. Hoping for a reply asap.

I am sure this email response from RPS Group is an attempt to hide the real facts and they are not publicly disclosing the land dispute, fearing bad publicity.

It is highly improbable that there is another RPS Infrastructure named company with a project in the same area.

Hi Jayanta,

I have got the same cut pate reply from RPS on my query on this notice.

I called up Mr Shailendra Nangia yesterday but he said he has not seen the notice since he is in Chandigarh for last 3-4 days.

Called up Mr Rajesh Jain who confirmed that this notice is not related to RPS Savana. According to him, no notice can be issued once license is obtained for the projects.

I hope its not for RPS Savana.
